Partnership Terms

These Partnership Terms govern the relationship between Cuzoo Limited and partners who provide services on the Cuzoo platform, including riders, fleet owners, logistics operators, and vendor or restaurant partners.

By registering as a partner, completing onboarding, or accepting delivery or vendor assignments through Cuzoo, you agree to these terms in addition to any partner-specific agreements or policies communicated during onboarding.

Partners must also comply with applicable laws, Cuzoo's operational guidelines, and our Privacy Policy as it relates to customer and platform data.

Partner Eligibility

To become a Cuzoo partner, you must meet the eligibility requirements for your partner category, which may include valid identification, proof of address, business registration (where applicable), and any licences required to operate in your jurisdiction.

Riders must hold a valid driver's licence and meet vehicle or equipment standards. Fleet partners must maintain appropriate insurance and operational capacity. Vendors must hold valid business permits and meet food or product safety requirements where applicable.

Cuzoo reserves the right to approve or reject partner applications at its sole discretion based on due diligence outcomes, coverage needs, and platform standards.

Onboarding & Verification

All partners must complete Cuzoo's onboarding process, including identity verification, background checks where required, and training on platform policies, safety standards, and customer service expectations.

Information submitted during onboarding must be accurate and kept up to date. Partners must notify Cuzoo promptly of any material change to their status, licence, insurance, vehicle, or business details.

Cuzoo may conduct periodic re-verification to ensure continued compliance with platform requirements.

Partner Obligations

Partners agree to perform accepted orders professionally, safely, and in accordance with Cuzoo's service standards. This includes timely pickup and delivery, respectful conduct toward customers, and proper handling of goods.

Partners must use the Cuzoo partner app or portal to accept, manage, and complete assignments. Offline arrangements with customers that bypass the platform are prohibited.

Partners are responsible for their own taxes, statutory contributions, and compliance with employment or commercial laws applicable to their business structure.

Service Standards

Cuzoo maintains performance standards including acceptance rates, completion rates, customer ratings, and response times. Partners who consistently fall below minimum thresholds may receive warnings, reduced access to orders, or account suspension.

Partners must not engage in discrimination, harassment, theft, fraud, or any conduct that damages customer trust or Cuzoo's reputation.

Safety is paramount. Partners must follow traffic laws, use appropriate safety equipment, and report accidents or incidents involving Cuzoo orders immediately through designated channels.

Payments & Commissions

Partner earnings, commission structures, and payout schedules are defined in the partner dashboard and may vary by partner type, city, and service category. Cuzoo may update fee structures with reasonable notice.

Payouts are made to the bank account or payment method registered on the partner profile. Partners are responsible for ensuring payout details are correct and current.

Cuzoo may withhold or offset payments where there are unresolved customer disputes, chargebacks, policy violations, or amounts owed to Cuzoo under these terms.

Equipment & Branding

Where Cuzoo provides branded equipment, uniforms, or delivery bags, partners must use them as directed and return them upon termination of the partnership where required.

Cuzoo trademarks and branding may only be used with prior written approval and in accordance with brand guidelines. Unauthorised use of Cuzoo intellectual property is prohibited.

Data & Confidentiality

Partners may receive access to customer information solely for the purpose of fulfilling orders. Customer data must not be copied, stored beyond what is necessary, shared with third parties, or used for marketing without consent.

Partners must keep confidential any non-public information about Cuzoo's operations, pricing, technology, or business strategies obtained through the partnership.

Data handling must comply with the Nigeria Data Protection Act and Cuzoo's privacy and security policies.

Suspension & Termination

Cuzoo may suspend or terminate a partner account immediately for serious breaches, safety incidents, fraud, or legal/regulatory requirements. Less serious violations may result in warnings or temporary restrictions.

Partners may terminate their account by following the offboarding process in the partner portal, subject to completion of outstanding orders and settlement of any amounts owed.

Upon termination, partners must cease representing themselves as Cuzoo partners and return any Cuzoo property in their possession.

Liability & Indemnity

Partners are independent contractors and not employees, agents, or joint venturers of Cuzoo unless explicitly agreed in writing. Partners bear primary responsibility for their actions, vehicles, staff, and business operations.

Partners agree to indemnify Cuzoo against claims, losses, or damages arising from the partner's breach of these terms, negligence, or violation of applicable law in connection with platform activities.

Cuzoo's liability to partners is limited to the extent permitted by law and shall not exceed the partner earnings paid through the platform in the 30 days preceding the claim, except where prohibited by law.

Governing Law

These Partnership Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved in the courts of Nigeria unless the parties agree to alternative dispute resolution.

Cuzoo may update these terms with notice through the partner portal or registered contact details. Continued use of the platform after updates constitutes acceptance of the revised terms.
